These Terms govern your access to and use of the Profit Guard platform (“Service”). By installing or using the Service, you (“Customer”, “you”) agree to be bound by these Terms.

01Service Definition

Profit Guard is a financial control and decision system designed to evaluate commercial actions before execution.

The Service:

  • Evaluates discounts, pricing, inventory, and promotions
  • Applies deterministic rules based on Customer-defined inputs
  • Produces outcomes such as allow, block, or escalate

Profit Guard does not execute transactions independently and relies on Customer systems (e.g., Shopify, POS) for execution.

02No Financial Advice

Profit Guard:

  • Does not provide financial, accounting, or tax advice
  • Does not guarantee profitability
  • Does not replace a CFO, accountant, or financial advisor

All outputs are system-generated evaluations, not recommendations.

03Customer Responsibility

You are solely responsible for:

3.1 Financial Configuration

  • Margin assumptions
  • Cost of goods
  • WACC, capital cost inputs
  • Loyalty valuation
  • Inventory valuation

3.2 Business Logic

  • Discount rules and thresholds
  • Pricing strategies
  • Promotional structures

3.3 Data Accuracy

  • All data provided to the system
  • Integration correctness (Shopify, APIs, POS)

04System Behaviour

Profit Guard operates strictly based on:

  • Inputs provided by the Customer
  • System integrations
  • Predefined logic and policies

The Company does not validate the economic correctness of inputs.

05Pricing and Payment

  • Subscription fees apply as agreed (monthly or enterprise contract)
  • Fees are non-refundable
  • Non-payment may result in suspension or termination

06Data Use

You retain ownership of all business data.

You grant Sigmar Investment PTY LTD a limited license to:

  • Process data for service delivery
  • Improve system performance (aggregated and anonymised only)

07Confidentiality

Both parties agree to:

  • Protect confidential information
  • Use it only for purposes of the Service

08Limitation of Liability

To the maximum extent permitted by law, Sigmar Investment PTY LTD shall not be liable for:

  • Loss of profit
  • Loss of revenue
  • Business interruption
  • Incorrect financial outcomes
  • Misconfigured rules or inputs
  • Third-party system failures (e.g., Shopify, POS)

Total liability is limited to the total fees paid in the previous 1 month.

09No Guarantee of Outcomes

Profit Guard is a control system, not a guarantee system.

Outcomes depend on:

  • Customer configurations
  • Data accuracy
  • External systems

We do not guarantee:

  • Profitability
  • Cost savings
  • Error-free operation

10Integrations and Third-Party Systems

The Service depends on third-party platforms including:

  • Shopify
  • POS systems
  • Marketing tools

We are not responsible for:

  • API failures
  • Platform outages
  • Changes made by third-party providers

11Availability

We aim for high availability but do not guarantee uninterrupted service.

We may:

  • Perform maintenance
  • Modify or update features
  • Suspend access where necessary

12Intellectual Property

All rights to Profit Guard remain with Sigmar Investment PTY LTD.

You may not:

  • Copy, reproduce, or resell the Service
  • Reverse engineer system logic
  • Replicate financial decision models

13Indemnity

You agree to indemnify Sigmar Investment PTY LTD against claims arising from:

  • Misuse of the Service
  • Incorrect configurations
  • Violations of law or third-party rights

14Termination

You may terminate at any time.

We may suspend or terminate if:

  • Terms are breached
  • Payment obligations are not met
  • Service misuse is detected

15Governing Law

These Terms are governed by the laws of Queensland, Australia.

16Changes to Terms

We may update these Terms at any time. Continued use of the Service constitutes acceptance of updated Terms.

Profit Guard enforces financial logic based on Customer-defined inputs. It does not assume responsibility for business outcomes.
